Please read these Terms of Service (“Terms”) carefully before using the website located at www.suyt.com (the “Site”) or any related services (collectively, the “Services”) operated by SUYT, Inc., a Delaware corporation (“SUYT,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Services Overview

SUYT operates an online platform that allows owners of investment-grade and collector vehicles to submit vehicle information and receive a non-binding cash purchase offer from SUYT. All offers are subject to physical inspection and verification and are not guaranteed or binding until a signed purchase agreement is executed by both parties.

2. Eligibility

You must be at least 18 years of age and have the legal authority to sell any vehicle submitted through the Services. By using the Services, you represent and warrant that:

• You are the legal owner of the vehicle, or are authorized to act on behalf of the legal owner;
• The vehicle is free of undisclosed liens, encumbrances, or title defects;
• All information you provide is accurate, complete, and not misleading; and
• Your use of the Services complies with all applicable laws and regulations.

3. Account Registration

Certain features of the Services require you to create an account. You agree to provide accurate and current information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately at legal@suyt.com if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate any account that violates these Terms or engages in fraudulent, abusive, or illegal activity.

4. Vehicle Offers

4.1 Non-Binding Nature of Preliminary Offers

Any preliminary cash offer generated through the Site is an estimate only. It is not a binding commitment to purchase and is subject to change or withdrawal at any time prior to execution of a written purchase agreement. Offers are contingent upon, among other things, physical inspection, title verification, and confirmation that the vehicle matches the description provided.

4.2 Inspection

SUYT arranges and pays for an independent third-party inspection of your vehicle. You agree to make the vehicle reasonably available for inspection at a mutually agreed time and location. Any material discrepancy between the submitted description and the inspected condition may result in a revised or withdrawn offer.

4.3 Title and Documentation

If you accept a final offer, you must provide a clean, unencumbered title and any additional documentation required to complete the transfer of ownership under applicable state law. You represent that you have the right to convey clear title to the vehicle.

4.4 Payment

Upon execution of a purchase agreement and receipt of satisfactory title documents, SUYT will initiate payment via the method agreed upon in the purchase agreement. SUYT aims to process payment the same business day that all documentation is received and verified, but cannot guarantee same-day payment in all circumstances.

4.5 Vehicle Transport

SUYT arranges and pays for transport of purchased vehicles from the seller's location anywhere within the contiguous United States. Transport logistics are coordinated by SUYT following execution of the purchase agreement and do not constitute acceptance of the vehicle until inspection is complete.

5. User-Submitted Content

By submitting vehicle descriptions, photographs, documentation, or other content (“Submitted Content”) through the Services, you grant SUYT a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute such content solely for the purpose of evaluating, making an offer on, and (if purchased) marketing or reselling the vehicle. You represent that you have all rights necessary to grant this license and that Submitted Content does not infringe any third-party rights.

SUYT does not claim ownership of your Submitted Content. The license above terminates when the transaction is declined or completed, except that SUYT may retain records of submitted content as required for business or legal purposes.

6. Prohibited Conduct

You agree not to:

• Submit false, misleading, or fraudulent vehicle information;
• Attempt to obtain offers on vehicles you do not own or are not authorized to sell;
• Use automated tools, bots, or scrapers to access or interact with the Services;
• Interfere with or disrupt the Services or servers or networks connected to the Services;
• Attempt to gain unauthorized access to any portion of the Services;
• Use the Services for any unlawful purpose or in violation of any applicable law or regulation; or
• Reverse engineer, decompile, or attempt to extract the source code of the Services.

7. Intellectual Property

The Services, including all content, design elements, trademarks, logos, and software, are owned by SUYT or its licensors and are protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Services beyond the limited license to use the Services as described herein.

“SUYT,” “Sell Us Your Toys,” and related marks are trademarks of SUYT, Inc. You may not use our trademarks without our prior written consent.

8. Third-Party Links and Services

The Services may contain links to third-party websites or integrate with third-party services. SUYT does not endorse and is not responsible for the content, policies, or practices of any third-party site. Your interactions with third parties are solely between you and them.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, SUYT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SUYT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

PRELIMINARY OFFERS GENERATED THROUGH THE SERVICES ARE NOT GUARANTEED AND ARE SUBJECT TO REVISION OR WITHDRAWAL. MARKET VALUES FOR COLLECTOR VEHICLES FLUCTUATE AND SUYT MAKES NO REPRESENTATION AS TO THE ACCURACY OF ANY ESTIMATED VALUE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUYT, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL SUYT'S AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100) OR (B) THE AMOUNT PAID BY YOU TO SUYT IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless SUYT and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your Submitted Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

YOU AND SUYT EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING.

If arbitration is found not to apply to a particular claim, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Effective Date” at the top of this page. If changes are material, we will provide additional notice (such as an email or a prominent notice on the Site). Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

14. Miscellaneous

These Terms constitute the entire agreement between you and SUYT with respect to your use of the Services and supersede any prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
